Terms of Service
These Terms govern your access to and use of the tpscal.com website and the TPS Cal application and related services (the “Services”) provided by Thermal Precision Systems LLC (“TPS,” “we,” “us”). By accessing or using the Services, you agree to these Terms.
1. The Services
TPS Cal is software for scheduling, recording, and reporting thermal-processing calibration, system accuracy testing, and temperature-uniformity surveys, and for managing related certification and recordkeeping.
2. Accounts
You must provide accurate account information, keep your credentials secure, and are responsible for activity under your account. Notify us promptly of any unauthorized use.
3. Customer Data
You retain ownership of the data you submit to the Services. You grant TPS a limited license to host, process, and display that data solely to provide and support the Services. You are responsible for the accuracy of your data and for having the rights necessary to submit it.
4. Compliance responsibility
The Services assist with recordkeeping, calculations, and reporting for standards such as AMS2750. You remain solely responsible for your own regulatory, contractual, and accreditation compliance — including AMS2750, Nadcap, and customer specifications — for validating all outputs, and for your own calibration, testing, and quality decisions. The Services are a tool; they do not constitute certification and do not guarantee any audit outcome.
5. Intellectual property
TPS and its licensors own all rights, title, and interest in the Services, including the software, and all related intellectual property. No rights are granted except as expressly set out in these Terms.
6. Acceptable use
You agree not to use the Services unlawfully, interfere with their operation, attempt unauthorized access, or reverse engineer the software except to the extent permitted by law.
7. Fees
Where the Services are provided on a paid basis, fees and payment terms are as set out in the applicable order or subscription agreement.
8. Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, TPS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or relating to the Services. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Term and termination
These Terms apply while you use the Services. We may suspend or terminate access for violation of these Terms or as required by law. Provisions that by their nature should survive termination will survive.
11. Governing law
These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules.
12. Changes
We may update these Terms from time to time. Material changes will be posted here with a revised effective date; continued use of the Services constitutes acceptance.
